What is Dialpad for Startups (DFS)?

Dialpad for Startups (DFS) is a program designed to help early-stage companies grow with best-in-class business phone lines and video conferencing. It’s ideal for supporting your company’s main phone number, sales lines, customer service lines, and video calls/meetings.

To start, the program offers 10 free seats of Dialpad Talk Pro (business phone lines) and 10 free seats of UberConference Business (professional video conferencing) for life. From there, discounts on up to 40 new Talk, Sell, and Contact Center licenses are granted at 75% off. Once over 50 (10 original + 40 new) Talk, Sell, and Contact Center licenses are added, the discount changes to 50% off all (existing and new) licenses. After a year of over 50 Talk, Sell, and Contact Center licenses, the discount changes to 25% off all (existing and new) licenses. And after two years of over 50 Talk, Sell, and Contact Center licenses, the discount changes to and remains at 10% off all (existing and new) licenses. The original 10 Talk Pro licenses will always remain free.

New licenses of UberConference Business may be added at no additional cost.

How do I know if my startup qualifies for DFS?

To qualify, your startup must be based in the U.S. or Canada, be angel or venture-capital backed (no minimum), and be a new Dialpad customer—existing paying customers for Dialpad or UberConference do not qualify for DFS. Companies that are currently enrolled in a trial of Dialpad and/or UberConference, or that have ever been in a trial, still qualify for DFS. Startups that meet these qualifications and have up to 25 employees are automatically admitted into the program, while startups with over 25 employees may receive other discounts outside of this program—so startups of all sizes are encouraged to apply.

What does my startup get if approved to participate in DFS?

Every qualified applicant receives 10 free, lifelong seats of Dialpad Talk (Pro sku) and 10 free, lifelong seats of UberConference (business sku) to begin. From there, discounts are offered on additional licenses of Talk, Sell, and Contact Center, while new UberConference licenses remain free.

How does billing work after the initial 10 free seats of Dialpad Talk (Pro sku) and 10 free seats of UberConference (business sku)?

After receiving 10 free seats of Dialpad Talk (Pro sku) and 10 free seats of UberConference (business sku) to begin, startups may choose to provision up to 40 additional licenses of Dialpad Talk, Sell, and/or Contact Center (all Pro skus) at 75% off of annual Pro sku pricing. After adding 40 more licenses, startups may continue to add licenses but pricing for all (existing and new) licenses goes from 75% off, to 50% off of annual Pro sku pricing. After a year of over 50 licenses, the discount on all (existing and new) licenses goes from 50% off, to 25% off of annual Pro sku pricing. After two years of over 50 licenses, the discount on all (existing and new) licenses goes from 25% off, to 10% off of annual Pro sku pricing and remains at 10% permanently thereafter.

Any newly provisioned UberConference (business sku) licenses past the original 10 free, will be granted at no additional cost.

What does “video conferencing is always free” mean?

Any newly provisioned UberConference (business sku) licenses past the original 10 free, will be granted at no additional cost.

Are there any fees associated with DFS?

International calling, toll-free calling, and reserved DID monthly charges apply on all licenses associated with DFS. Customers will be responsible for any such fees incurred on all licenses they provision.

All Dialpad license purchases on top of the first 10 free are chargeable including local numbers for departments, offices, call centers, and additional user licenses. Upgrading to Contact Center and Sell licenses would also be chargeable. All calling credits are chargeable as well as international service calling.

All reserved numbers must be managed by the admin as these incur a $1 charge. If any local number is deleted it will go directly to the reserved pool.

What size companies qualify for DFS?

Startups that have up to 25 employees are automatically admitted into the program, while startups with over 25 employees may receive other discounts outside of this program—so startups of all sizes are encouraged to apply. DFS also restricts by funding—only startups backed by angel or venture capital quality. There is no minimum funding amount required.

What if my company has more than 25 employees?

Startups with over 25 employees may receive other discounts outside of this program and are still encouraged to apply.

What if my company provisioned more than 50 licenses but needs to downsize to under 50 licenses—do we go back to 75% off?

Unfortunately, no. Once more than 50 licenses are provisioned, the most recent discount threshold remains until new thresholds are met. Discounts are never retracted.

What if my startup immediately provisions more than 40 Talk/Sell/Contact Center licenses over the initial 10 free Talk licenses—do we still get 75% off the first 40 then 50% off the additional licenses after that?

Unfortunately, no. Upon immediate provisioning of over 40 Talk/Sell/Contact Center licenses, your startup will be in the 50% off discount threshold for one year before the discount is reduced to 25% off.

Do startups need to sign anything in order to participate in DFS?

No. However, when submitting their application, startups must agree to the program terms.

My startup applied to DFS but did not get approved. Why?

Some of the reasons why applicants do not qualify include but are not limited to: having more than 25 employees, insufficient details provided in application, already a Dialpad or UberConference paying customer, lack of angel or venture capital funding. What kind of partners qualify for DFS?

Partners of DFS are given official materials to distribute to their startups and are the first to know about special offers, events, and more.

Taxes, Regulatory Surcharges:

This is not an invoice and the total shown above does not include any taxes or regulatory surcharges that may apply. Any such taxes or regulatory surcharges are the responsibility of the Customer and shall be outlined in each respective invoice during the Term.

Other Charges:

Additional charges may apply for international calling, toll-free calling, and reserved DIDs, which will be invoiced monthly as incurred.

Domestic Usage Charges:

Additional domestic usage charges will apply on a per-minute basis for inbound and outbound calling within certain countries, including but not limited to Algeria, Angola, Cambodia, Croatia, Georgia, Indonesia, Kazakhstan, Philippines, Sri Lanka, and Vietnam.

TERMS & CONDITIONS

This Master Services Agreement (“MSA”) is made by and between Dialpad, Inc. (“Dialpad”) and the Customer named above. This MSA is comprised of the following documents, each of which is incorporated by reference into this MSA: the Service Order or any subsequent orders executed by the parties (“Order”), the General Terms and Conditions (available at http://www.dialpad.com/legal/), and any other documents listed in the Special Terms section of the Order. In the event of a conflict between the Order and the General Terms and Conditions, the terms of the Order shall prevail. This MSA is effective as of the date that the Order was last signed by the Customer and Dialpad (“Effective Date”).

This Service Order (“Order”) is made by and between Dialpad and Customer and is effective as of the Effective Date. The service term begins on the earliest Order Start Date and remains in effect until the latest Order End Date in the Services Fees table above and any applicable renewal terms hereunder (“Service Term”).

Service Term Renewal:

This Order shall renew automatically for additional one-year periods at the discounted fees in effect under this Order at the time of renewal (excluding discounts identified as “one-time,” “special,” “promotional” or free periods”), subject to Dialpad’s right to increase such fees up to 5% in each renewal year, unless either party gives the other party written notice of termination at least thirty (30) days prior to the end of the then applicable Renewal Date. The renewal of this Order shall include the renewal of all licenses under this Order, including those that are self-provisioned by the Customer during the Service Term.

Notices:

All notices, requests, demands, and determinations under the MSA and Order (other than routine operational communications), shall be in writing and shall be deemed duly given upon receipt and may be delivered by (i) hand; (ii) express courier with a reliable system for tracking delivery; (iii) electronic mail with confirmed receipt by the other party, or (iv) United States mail, registered or certified mail, return receipt requested, postage prepaid, and addressed to the parties as set forth below:

Dialpad for Startups Program

Customer agrees that it is enrolling in Dialpad’s Dialpad for Startups Program which allows Customer to provision up to ten (10) Dialpad Talk Pro licenses (hereinafter referred to as “Free Licenses”). In the event that Customer provisions any additional licenses, Customer acknowledges and agrees that it will be charged an annual fee in accordance with the following pricing schedule (prorated as of the date the additional licenses are added):

By way of example, Customer may add up to forty (40) licenses (which may include any combination of Dialpad Talk, Dialpad Sell, and/ or Dialpad Contact Center) over the initial ten (10) Free Licenses which would provide Customer with fifty (50) total licenses priced as follows: 10 Free Licenses, 40 additional licenses billed at 75% off the current list price of each license, prorated as of the date that the additional forty (40) licenses are provosioned; the 75% discount will remain in effect for so long as Customer’s total license count does not exceed fifty (50) total licenses.

In the event that Customer’s total license count exceeds fifty (50) licenses, Customer will be billed as follows: 10 Free Licenses, any additional licenses beyond the initial ten (10) Free Licenses will be billed at 50% off the current list price of each license, prorated as of the date that the additional licenses (in excess of the initial 10 Free Licenses) are provisioned.

Following the expiration of the first full year of Customer qualifying for the 51+ Licenses tier, the annual discount will be reduced as outlined in the table above (regardless of how long Customer has qualified for any other tier). The initial 10 Free Licenses of Dialpad Talk Pro will not expire unless otherwise terminated pursuant to the Dialpad Terms of Service or otherwise specified in this Order. In addition to the discounts outlined above, Customer will be permitted up to 500 UberConference Business, in addition to the first 10 free licenses granted which do not expire, at no cost as part of the Dialpad for Startups Program. International calling, toll-free calling, and reserved DID monthly charges apply on all licenses associated with Dialpad for Startups. Customer acknowledges and agrees that it will be responsible for any such fees incurred on all licenses it provisions, whether or not such licenses are discounted.
