Dialpad for Good Program Terms

By submitting an application for the Dialpad for Good Program (the “Program”), Customer agrees to the terms and conditions of the Program as outlined herein.

Marketing

Following the first three (3) months of Customer’s enrollment in the Program, Customer agrees, at Dialpad’s request, to participate in marketing initiatives, including Dialpad’s use of Customer’s logo in marketing materials, development of case studies, and participation in product reviews, press releases, and product testimonials. Customer may elect to decline participation in any such marketing initiatives by providing Dialpad with written notice of the same.

Dialpad for Good Fees

Customer agrees that it is enrolling in Dialpad’s Dialpad for Good Program which allows Customer to provision up to ten (10) Dialpad Talk Pro licenses and an unlimited number of Dialpad Meetings licenses at no charge. In the event that Customer provisions any additional licenses of Dialpad Talk Pro, Sell, or Contact Center, Customer acknowledges and agrees that it will be charged an annual fee in accordance with the following pricing schedule (prorated as of the date the additional licenses are added):

Discounts under this tier are based on when Customer’s license count exceeds 50, not based on Customer’s date of entry into the Program. Discounts under this tier will continue to apply, even if Customer later removes licenses.

*In addition to the 10 free licenses of Dialpad Talk Pro, customers enrolled in the Dialpad for Good Program will be entitled to an unlimited number of Dialpad Meetings licenses at no charge for the duration of their participation in the Program. Customer’s free Dialpad Talk Pro licenses along with Customer’s free Dialpad Meetings licenses will be counted toward Customer’s total license count for purposes of determining Customer’s qualifying tier above.

If at any time during the Service Term (including during the first year), Customer’s total license count exceeds 50, pricing for the Second Tier (51+ licenses) will apply to all licenses in effect at such time (with the exception of any free licenses which will remain at no charge), commencing on the date that Customer first qualifies for the Second Tier (51+ licenses). If Customer qualifies for the Second Tier (51+ licenses) but later removes licenses, Customer’s discount will continue to be governed under the Second Tier (51+ licenses).

Upon the earlier of: (i) the expiration of Customer’s first year (from contract start date/Program enrollment), or (ii) when Customer’s total license count exceeds 50 (including any free licenses), the annual discount will be reduced as outlined in the table above. Any free licenses offered under the Program will remain free of charge unless otherwise terminated pursuant to the Dialpad Terms of Service or otherwise specified in the Order (as defined below).

International calling, toll-free calling, and reserved DID monthly charges apply on all licenses and Customer acknowledges and agrees that it will be responsible for any such fees incurred on all licenses it provisions, whether or not such licenses are discounted and/or free.

Service Term Renewal

Customer’s Order shall have a term of one (1) year and shall renew automatically for additional one-year periods at the discounted fees in effect under the Order at the time of renewal (excluding discounts identified as “one-time,” “special,” “promotional” or “free periods”), subject to Dialpad’s right to increase such fees up to 5% in each renewal year, unless either party gives the other party written notice of termination at least thirty (30) days prior to the end of the then-applicable Renewal Date (as set forth in the applicable Order). The renewal of the Order shall include the renewal of all licenses under the Order, including those that are self-provisioned by the Customer during the Service Term (as set forth in the applicable Order).

Additional Terms

In addition to these Dialpad for Good Program Terms, the Customer agrees to the terms of the following documents (each of which is incorporated by reference herein): the Service Order or any subsequent orders executed by the parties (“Order”), the General Terms and Conditions (available at http://www.dialpad.com/legal), and any other documents listed in the Special Terms section of the Order. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the General Terms and Conditions or Order.
