Welcome to Dialpad. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications, which include, but are not limited to, UberConference and Dialpad (the “Services”). These Terms of Use (the “Terms”) are a binding contract between you and Dialpad ("Dialpad," "we" and "us"). You must agree to and accept all of the Terms, or you don’t have the right to use the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy and Copyright Dispute Policy.

この利用規約は変更されますか?

プライバシーはどうなりますか?
Dialpadは、当社のユーザーのプライバシーを真摯に尊重しています。現在のDialpadのプライバシーポリシーについては、 dialpad.com/jp/legal の「プライバシーポリシー」をご確認 ください。

児童オンラインプライバシー保護法(「COPPA」)は、オンラインサービスプロバイダーが13歳未満の児童から個人を識別可能な情報をオンラ インで意図的に収集する前に、保護者から同意を得ることを義務付けています。 当社はお客様が13歳未満であることを知りながら、そのお客様 の個人を識別可能な情報を収集し、または求めることはありません。13歳未満のお子様は、当社サービスに登録したり、個人情報を当社へ送った りしないでください。13歳未満のお子様から個人情報を収集したことが判明した時は、できるだけ早急に当該情報を削除します。13歳未満のお 子様から当社へ個人情報が提供された可能性があると思われる時は、support@dialpad.comまでご連絡ください。
サービス利用の基礎は何ですか?
お客様はアカウントへの登録と、パスワードとユーザー名(「ユーザーID」)の選択が求められます。 お客様は当社に、正確で完全な、更新さ れた自分の登録情報を提供することを約束します。 お客様のユーザーIDに、お客様に使用権がない名前を選択したり、他人になりすますことを 意図して他人の名前を選択したりすることはできません。 当社の事前の書面による許可なく、お客様のアカウントを他人に譲渡することはでき ません。
お客様は、お客様が拘束力のある契約を結ぶことができる法定年齢であること(または、そうでない場合、お客様の親または保護者によるサー ビスの使用許可を受け、お客様の親または保護者がこの利用規約をお客様に代わって合意していること)を表明し、保証するものとします。お客 様が組織または企業に代わってこの利用規約に合意する場合、お客様はその組織または企業のためにこの利用規約に合意し、それらをこの利用規 約に拘束させる権限があることを表明し、保証するものとします(この場合、この利用規約における「お客様」または「お客様の」は、この文章 を除き、当該組織または企業を指すことになります)。
お客様は、自分自身の個人使用または業務使用のためにのみ、お客様に適用されるすべての法令に準拠するようにサービスを使用します。 適用 法令でお客様によるサービスの使用が禁止されている場合、サービスを使用することはできません。当社は、法令に違反するようなサービスの使 用に対して責任を負うことはありません。
お客様は、お客様のアカウントまたはパスワードを誰にも伝えてはならず、お客様のアカウントとパスワードのセキュリティを保護する必要が あります。お客様は、お客様のアカウントに関連するあらゆる活動に対して責任を負います。
お客様によるサービスの使用は、以下の追加制限の対象となります。
お客様は、お客様が以下のような方法でコンテンツまたはユーザー提出物(それぞれの用語は以下に定義します)を投稿しないこと、または他 の方法でサービスを使用しないこと、またはサービスと交流しないことを表明し、保証し、これに合意するものとします。
- 他人(Dialpadを含む)の知的財産権またはその他一切の権利を侵害または違反すること
- 何らかの法令または規制に違反すること
- 有害、不正、欺罔、脅迫、嫌がらせ、中傷的、わいせつ、またはその他の好ましくないこと
- お客様のDialpadアカウントまたは他の誰かのセキュリティを脅かすこと(他人がお客様としてサービスにログインできるようにするなど)
- 他のユーザーからパスワード、アカウント、またはその他のセキュリティ情報を取得するように試みること
- いずれかのコンピューターネットワークのセキュリティを侵害する、またはいずれかのパスワードまたはセキュリティ暗号化コードを解読す ること
- Maillist、Listserv、いずれかの形態の自動応答システムもしくは「スパム」をサービス上で実行すること、またはお客様がサービスに ログインしてない間に実行されるか作動するプロセス、あるいは他の方法でサービスの適切な動作を妨害するプロセスを実行すること(サービ スのインフラストラクチャに不合理な負荷をかけることを含む)
- 適用法令によって保護され、サービスに含まれるかサービスを通じてアクセス可能な知的財産権を、競合する製品もしくはサービスを構築す る、またはその機能もしくはユーザーインターフェイスを複写することを目的として使用すること
- Dialpadの事前の書面による同意なしに、公開を意図した製品ベンチマークテストまたはその他の比較分析を目的として、サービスを使用 すること、またはサービスの使用を許可すること
- Dialpadの事前の書面による同意なしに、何らかのソフトウェア、ソフトウェアコード、またはソフトウェアの派生品を開発するためにサ ービスを使用すること
- サービスまたはコンテンツの、またはそれに関連するページ、データ、またはその一部を(手動または自動的手段を通じて)「クローリング 」、「スクレイピング」、「スパイダリング」すること
- コンテンツの重要部分を複写または保管すること
- サービスの、またはサービスに関連するソースコード、または基盤となるアイデアまたは情報を取得するため、デコンパイル、リバースエン ジニアリング、またはその他の試みを行うこと
これらに違反することは、お客様によるサービスの使用またはアクセスの権利を終了する根拠となります。
サービスにおけるユーザーの権利は何ですか?
サービス上でまたはサービスを通じて表示される、実行される、または利用可能な、テキスト、グラフィック、データ、記事、写真、画像、イ ラスト、ユーザー提出物など(これらに限定されない)の資料(上記を「コンテンツ」と総称)は、著作権および/またはその他の知的財産法に よって保護されています。 お客様は、サービスを通じてお客様がアクセスするコンテンツに含まれるすべての著作権表示、商標規則、情報、お よび制限を遵守し、お客様が所有しないコンテンツを、(i)当該コンテンツの所有者による事前の同意なしに、または(ii)他者(Dialpadを 含む)の権利を侵害するような方法で、使用、複写、複製、変更、翻訳、出版、放送、送信、配布、実演、アップロード、表示、ライセンス供与 、販売、またはあらゆる目的のために他の方法で利用しないことを約束します。
お客様はDialpadがサービスを所有することを理解するものとします。お客様は、サービスの変更、出版、送信、サービスの譲渡または販売へ の従事、複製(本セクションで明示的に定めるものを除く)、サービスに基づく派生製品の作成、または他の方法によるサービスの利用を行わな いものとします。
サービスは、お客様に特定コンテンツの複写またはダウンロードを許可する場合がありますが、この機能が存在するだけで、上述のいずれかの 制限が適用されないことにはなりません。制限は適用されることに注意してください。
サービス上で自分の著作権を侵害するものに気づいた場合はどうしますか?
デジタルミレニアム著作権法(「DMCA」)についてご存知かもしれませんが、この法律は、著作権侵害が疑われる素材の削除を要求される、 Dialpadのようなオンラインサービスプロバイダーに関連するものです。当社は他者の知的財産権を尊重します。また、侵害が疑われるコンテン ツを削除または無効化し、繰り返し侵害が疑われるアカウントを終了する権利を留保します。当社の著作権ポリシー全文および侵害の可能性があ るコンテンツの報告方法は「著作権に関するポリシー」を参照してください。
サービス上の表示内容および行動は誰が責任を負うのですか?
サービスを通じて公に投稿またはプライベートに伝送される情報またはコンテンツは、かかるコンテンツの出所である人物の単独の責任であり、 お客様は、すべてのかかる情報およびコンテンツにお客様ご自身の責任でアクセスします。当社は、当該情報またはコンテンツの誤りまたは脱落 、またはそれに関連してお客様が受ける損害または損失に対して一切の責任を負いません。お客様がコンテンツをどのように解釈して使用するか 、またはコンテンツに触れた結果お客様がどのような行動を取るかを当社が支配することはできず、それに関して当社が何らかの措置を講じる義 務はありません。また、お客様はここに、お客様がサービスを通じてコンテンツを取得したこと、または取得しなかったことに関する当社の一切 の責任を免除するものとします。当社は、サービスの使用時にお客様が交流するユーザーの個人情報を保証することはできず、どのユーザーがサ ービスにアクセスするかについて責任を負うことはありません。
お客様は、お客様が何らかの方法でサービスに投稿したすべてのコンテンツの責任を負い、お客様は、そのような方法で投稿を行うために必要 なすべての権利を有することを表明し、これを保証するものとします。お客様は、お客様の登録情報をすべて正確かつ最新に保ちます。お客様は 、サービスに関連するすべてのお客様の活動に責任を負います。
サービスには、Dialpadが所有しないまたは支配しない第三者のウェブサイトまたはサービスへのリンクや接続情報が含まれる場合があります 。お客様が第三者のウェブサイトにアクセスするか、第三者のサービスを使用する場合、お客様はそれを行う上でリスクがあること、および Dialpadはかかるリスクに対する責任を負わないことを承認するものとします。当社は、お客様がサービスを離れる時は注意を払い、お客様が訪 問または使用する第三者のそれぞれのウェブサイトまたはサービスの使用条件およびプライバシーポリシーをお読みになることを推奨します。
Dialpadは、あらゆる第三者のウェブサイト、またはお客様がサービスを通じて交流する第三者が表明する内容、正確性、プライバシーポリシ ー、またはそれらの慣習または意見に対する支配力を持たず、これらに対して一切の責任を負いません。さらにDialpadは、いかなる第三者のサ イトまたはサービスの内容も監視、検証、検閲または編集することはなく、それを行うこともできません。お客様はサービスを使用することで、 お客様による第三者のウェブサイトまたはサービスの使用によって生じる一切の責任から当社を保護し、免責します。
製品またはサービスの支払いと配信を含め、サービス上で見出される、またはサービスを通じて行われるお客様と組織および/または個人との交 流、ならびにかかるやり取りに関連するその他すべての規約、条件、保証、または表明は、お客様とかかる組織および/または個人の間でのみ存 在します。これらの第三者とオンラインまたはオフラインで交流を続行する前に、必要または適切だと思われるあらゆる調査を行ってください。 お客様は、Dialpadがかかるやり取りの結果生じたあらゆる種類の損失または損害に対して一切の責任または法的義務を負わないことに同意する ものとします。このサイトの参加者間、またはユーザーと第三者の間で紛争が発生した場合、お客様は、Dialpadがかかる紛争に関与する義務を 負わないことに同意するものとします。
お客様が1人以上の他のユーザーと紛争になった場合、お客様はDialpad、その役員、従業員、代理人、および承継人を、あらゆる種類または 性質の、既知または未知、疑われているか疑われていないか、開示または未開示を問わず、かかる紛争および/または当社のサービスから生じる、 またはそれにあらゆる方法で関連している、申し立て、要望、および損害から免責するものとします。お客様がカリフォルニアに居住している場 合、お客様はここに、カリフォルニア民法セクション1542の規定「一般的な免責は、免責の実行時点で債権者が知らなかったかまたは自己の有利 な規定であると考えていなかったという主張で、もし債権者が知っていた場合は債務者との和解に重大な影響を与えることが確実である申し立て には及ばない」を放棄するものとします。
Dialpadはサービスを変更することがありますか?
当社は常にサービスの向上を図っておりますので、ゆくゆくは変更する場合もあります。当社は、サービスの一部を停止または廃止する、新機 能を導入する、特定の機能に制限をかける、またはサービスの一部またはすべてに対するアクセスを制限することができます。当社は、お客様に 悪影響を及ぼしかねないサービスへの重大な変更を実行する場合はお客様に通知するように努めますが、これが常に実行可能であるとは限りませ ん。同様に、当社は独自の裁量で、告知なしにサービスからいつでも理由を問わず任意のコンテンツを削除する権利を留保します(お客様がこの 利用規約に違反するコンテンツを投稿した疑いがあると誰かが主張した場合を含みますが、これに限定されません)。
サービスには費用がかかりますか?
現在、Dialpadの一部のサービスは無料で使用できますが、当社は将来的に、特定またはすべてのサービスに対して課金する権利を留保します。 当社は、お客様が現在使用中のサービスに料金が適用され始める前にお客様に通知します。そして、お客様がかかるサービスの使用継続を希望す る場合は、かかるサービスに対して適用される料金をすべて支払う必要があります。
料金が適用されるサービス(「有料サービス」)への登録を選択する場合、お客様にはかかる有料サービスの現在の料金が請求されます。 Dialpadの有料サービスの最新料金については、https://www.dialpad.com/pricing および https://www.uberconference.com/pricing に記載しています。別途合意されている場合を除き、Dialpadに対して支払われた料金は一切返金できません。
サービスの利用を停止する場合はどうしますか?
dialpad.com/contact-support から当社にご連絡いただくことで、いつでも サービスを停止できます。当社サービスの利用停止後の、お客様から当社にご提供いただいた情報の取り扱い方法については、当社のプライバシ ーポリシーと上記のライセンスを参照してください。
Dialpadは、お客様によるこの利用規約の違反を含む何らかの理由により、当社の裁量でお客様のサービスの使用またはお客様のアカウントを 自由に終了(またはアクセスを停止)させることもできます。Dialpadは、この利用規約で定められた制限に違反しているか否かを判断する唯一 の権限を持ちます。
アカウントを終了すると、お客様のアカウントに関連付けられているあらゆるコンテンツの破壊につながる場合がありますので、お客様がアカ ウント終了を決定する前にこれを念頭に置いてください。当社は、当社がお客様のアカウントを終了する前にあらかじめ通知し、お客様がアカウ ントに保管していた重要なユーザー提出物を(法令およびこの利用規約で許可される範囲内で)取り戻すことができるように努めますが、それが 非現実的、違法、誰かの安全またはセキュリティの利益にならない、あるいは他の理由でDialpadの権利または資産に対して有害となると当社が 判断した場合は、それを行わない場合があります。
お客様がアカウントを誤って削除した場合、dialpad.com/contact-support までただちにご連絡ください。できる限り支援しますが、残念ながら何らかの復旧または復元が可能であるとお約束することはできません。その 性質上、この利用規約の終了後も存続すべきである条項は、終了後も存続するものとします。たとえば以下はすべて終了後も存続します。お客様 による当社への支払い義務または当社への補償義務、当社の責任に対する制限、所有権または知的財産権に関する条項、当社とお客様の間の紛争 に関する規約。
AppleのApp Storeから入手できる御社のアプリを使用しています。何か知っておくべきことはありますか?
この利用規約は、Apple, Inc.(「Apple」)を通じて利用可能なiPhoneおよびiPadのアプリケーション(「アプリケーション」)を含め、 お客様によるすべてのサービスの使用に適用されますが、これらのアプリケーションには以下の追加規約も適用されます。
- お客様とDialpadはどちらも、利用規約がAppleとではなくお客様とDialpadの間のみで締結され、Appleがアプリケーションまたはコン テンツに対して責任を負わないことを承認するものとします。
- アプリケーションは、限定的、非排他的、譲渡不能、サブライセンス不能な形で、お客様の私的で個人的な非商業用途のためにサービスと 関連して使用するためにのみ、サービスに適用のあるこの利用規約のすべての条件に従って、お客様にライセンス供与されます。
- お客様は、お客様が所有または管理するAppleデバイスとの関連でのみ、アプリケーションを使用します。
- お客様は、Appleにはアプリケーションに関するメンテナンスおよびサポートサービスを実装するいずれの義務もないことを承認し、これ に同意するものとします。
- 法令上の黙示的な保証を含め、アプリケーションがいずれかの適用される保証に準拠しなかった場合、お客様はAppleにかかる不履行を通 知することができます。通知を受けた場合、Appleのお客様に対する唯一の保証義務は、お客様にアプリケーションの購入価格(存在する場 合)を返金することです。
- お客様は、お客様または第三者がアプリケーションに関連して行うあらゆる申し立てに対処する責任を負うのはAppleではなくDialpadで あることを承認し、これに同意するものとします。
- お客様は、第三者がアプリケーションまたはお客様によるアプリケーションの所有または使用が当該第三者の知的財産権の侵害に当たると 申し立てた場合、AppleではなくDialpadが、かかる侵害の申し立てに対して調査、防御、和解および免責を行う責任を負うことを承認し、 これに同意するものとします。
- お客様は、お客様が米国政府の禁輸対象である、または米国政府によって「テロ支援国家」として指定されている国に居住していないこと、 ならびにお客様が米国政府の禁止または制限団体リストに掲載されていないことを表明し、これを保証します。
- お客様とDialpadはどちらも、お客様によるアプリケーションの使用時に影響を及ぼすかまたはかかる使用によって影響を受ける場合のあ る、適用される第三者の契約条件にお客様が準拠することを承認し、これに合意するものとします。
- お客様とDialpadはどちらも、AppleおよびAppleの子会社がこの利用規約の受益者であり、お客様がこの利用規約を受け入れると、 Appleはその受益者としてこの利用規約上の規定をお客様に対して執行する権利を持つことなります(また、Appleは当該権利を受け入れたと みなされます)。
その他に知っておくべきことはありますか?
保証の免責事項。 Dialpadは、サービスに含まれる、またはサービスを通じてアクセスされるあらゆる内容に関して一切の表明ま たは保証を行わず、サービスに含まれる、またはサービスを通じてアクセスされる資料の正確性、著作権準拠、合法性、または品位に対して当社 が責任または義務を負うことはありません。当社は、サービスを通じて提供、購入されたサービスまたは製品に関する提案、推奨に対して、表明 または保証することはありません。サービスを通じて購入または提供された製品およびサービス(かかる推奨および提案に続くものかどうかを問 わず)は「現状有姿」で提供され、Dialpadまたは他者からのいかなる種類の保証も伴いません(かかる他者に関してのみ、特定の製品に対して 指名された第三者が明示的かつ明確に書面で提示している場合を除く)。サービスおよびコンテンツは、明示的か黙示的かを問わず、商品性の黙 示的な保証、特定用途に対する適合性、非侵害、サービスの当該使用が妨害されないか誤りがないことなど(これらを含みこれらに限定されない 、いかなる種類の保証も伴わない「現状有姿」ベースで提供されます。一部の州では、黙示的な保証の)存続期間について制限を設けることを許 可していないため、上述の制限が適用されない場合があります。
責任の制限。 適用法令によって許可される最大限の範囲で、いかなる状況下および法理論においても(不法行為、契約、厳格責任 、またはその他を含み、これらに限定されない)、Dialpadはお客様または他者に対して、(a)逸失利益、営業権の喪失、業務停止、結果の正 確性、コンピューターの故障もしくは誤作動を含むあらゆる種類の間接的、特別、偶発的、もしくは結果損害(b)(i)$100もしくは(ii)当 該申し立てに先立つ12カ月間でサービスに関連してお客様がDialpadに支払った金額のいずれか大きい方を超える金額の総計、また(iii)当社 の合理的な支配を超える事態についての責任を負うことはありません。一部の州では、特定の損害の除外または制限が許可されないので、上述の 制限および除外がお客様に適用されない場合もあります。
免責。 適用法令によって許可される最大限の範囲で、お客様はDialpad、その子会社、役員、代理人、従業員、パートナーを免責 し、(a)お客様によるサービスの使用(お客様のアカウントを使用して第三者が行ったあらゆる活動を含む)、および(b)お客様によるこの利 用規約の違反に関連する、あらゆる第三者からの申し立てから発生する、またはそれらに関連する一切の申し立て、責任、損害(実損および間接 的損害)、損失および支出(弁護士費用を含む)から保護することに合意するものとします。かかる申し立て、訴訟、または法的措置(「申し立 て」)が行われた場合、当社が所有するお客様のアカウントの連絡先に通知するように努めます(ただし、かかる通知を届けなかった場合でも本 契約のお客様の補償義務が減免されることはないものとします)。
譲渡。 お客様は、この利用規約または本契約におけるお客様の権利または義務、またはお客様のサービスアカウントを、Dialpad の事前の書面による同意なしに、いかなる方法でも(法律の効果またはその他の方法で)譲渡、委譲、または移転することはできません。当社は この利用規約および当社の権利と義務を、同意なく移転、譲渡または委譲することができます。
法の選択、仲裁。 この利用規約は、その抵触法(準拠法選択)規則は適用せずに、カリフォルニア州の法律に準拠し、それにより 解釈されます。この利用規約の対象事項から生じる、またはこれに関係するあらゆる紛争は、最終的にカリフォルニア州サンフランシスコにおい て、英語で、裁判外紛争解決機関であるJudicial Arbitration and Mediation Services, Inc.(「JAMS」)の、その時に有効な簡易 手続仲裁規則および手続きに従い、かかる規則に基づいてJAMSの仲裁人のリストから選択される知的財産および商事契約の紛争解決に豊富な経験 のある商事仲裁人1名によって解決されるものとします。かかる仲裁人によって下された裁決の判断は、管轄権を有する裁判所にお互い執行する ことができます。前述の紛争の仲裁義務はあるものの、各当事者は任意の管轄権を有する裁判所から、いつでも差し止めまたはその他の衡平法上 の救済を求める権利を有するものとします。本契約において当事者は、それぞれカリフォルニア州サンフランシスコ郡、またはカリフォルニア州 北地区にある州裁判所または連邦裁判所の専属管轄権および裁判地に同意するものとします。

Welcome to Dialpad. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications, which include, but are not limited to, UberConference and Dialpad (the “Services”). These Terms of Use (the “Terms”) are a binding contract between you and Dialpad ("Dialpad," "we" and "us"). You must agree to and accept all of the Terms, or you don’t have the right to use the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy and Copyright Dispute Policy.
Will these Terms ever change?
We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the Dialpad website, by sending you an email, and/or by some other means.
If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.
Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

Some of the Services do have their own specific terms of use in addition to these Terms (“Additional Terms”). The Children’s Online Privacy Protection Act (“COPPA”) requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13. We do not knowingly collect or solicit personally identifiable information from children under 13; if you are a child under 13, please do not attempt to register for the Services or send any personal information about yourself to us. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible. What are the basics of using the Services?
You may be required to sign up for an account, and select a password and user name (“User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. For your User ID, you may not select a name that you do not have the right to use, or another person’s name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.
You represent and warrant that you are of legal age to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission to use the Services and gotten your parent or guardian to agree to these Terms on your behalf). If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).
You will only use the Services for your own personal or business use and only in a manner that complies with all laws that apply to you. If applicable laws prohibit your use of the Services, then you aren’t authorized to use the Services. We can’t and won’t be responsible for your use of the Services in a way that breaks the law.
You will not share your account or password with anyone, and you must protect the security of your account and your password. You are responsible for any activity associated with your account.
Your use of the Services is subject to the following additional restrictions:
You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Services or interact with the Services in a manner that:
- Infringes or violates the intellectual property rights or any other rights of anyone else (including Dialpad);
- Violates any law or regulation;
- Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- Jeopardizes the security of your Dialpad account or anyone else’s (such as allowing someone else to log in to the Services as you);
- Attempts, in any manner, to obtain the password, account, or other security information from any other user;
- Violates the security of any computer network, or cracks any passwords or security encryption codes;
- Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);
- Uses any intellectual property rights protected by applicable laws and contained in or accessible through the Services for the purpose of building a competitive product or service or copying its features or user interface;
- Uses the Services, or permits it to be used, for purposes of product benchmarking or other comparative analysis intended for publication without Dialpad's prior written consent;
- Uses the Services to develop or enhance any software, software code, or any derivative works of any software without Dialpad's prior written consent;
- "Crawls," "scrapes," or "spiders" any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
- Copies or stores any significant portion of the Content;
- Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
What are my rights in the Services?
The materials displayed or performed or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, User Submissions, and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates someone else’s (including Dialpad’s) rights.
You understand that Dialpad owns the Services. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), creative derivative works based on, or otherwise exploit any of the Services.
The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn’t mean that all the restrictions above don’t apply – they do!
What if I see something on the Services that infringes my copyright?
You may have heard of the Digital Millennium Copyright Act (the “DMCA”), as it relates to online service providers, like Dialpad, being asked to remove material that allegedly violates someone’s copyright. Who is responsible for what I see and do on the Services?
Any information or content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk, and we aren’t liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services. We can’t guarantee the identity of any users with whom you interact in using the Services and are not responsible for which users gain access to the Services.
You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. You will keep all your registration information accurate and current. You are responsible for all your activity in connection with the Services.
The Services may contain links or connections to third party websites or services that are not owned or controlled by Dialpad. When you access third party websites or use third party services, you accept that there are risks in doing so, and that Dialpad is not responsible for such risks. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third party website or service that you visit or utilize. Dialpad has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Dialpad will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.
Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that Dialpad shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
If there is a dispute between participants on this site, or between users and any third party, you agree that Dialpad is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Dialpad, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."
Will Dialpad ever change the Services?
We’re always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms), in our sole discretion, and without notice.
Do the Services cost anything?
Some of the Dialpad Services are currently free, but we reserve the right to charge for certain or all Services in the future. We will notify you before any Services you are currently using begin carrying a fee, and if you wish to continue using such Services, you must pay all applicable fees for such Services.
If you choose to sign up for any Services that carry a fee (the “Paid Services”) you will be charged the then current fees for such Paid Services. Dialpad's current fees for the Paid Services can be found at https://www.dialpad.com/pricing and https://www.uberconference.com/pricing. Unless otherwise agreed, all fees paid to Dialpad are non-refundable.
What if I want to stop using the Services?
You’re free to do that at any time, by contacting us at support@dialpad.com; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.
Dialpad is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. Dialpad has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Dialpad.
If you have deleted your account by mistake, contact us immediately at support@dialpad.com – we will try to help, but unfortunately, we can’t promise that we can recover or restore anything.
Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.
I use your App(s) available via the Apple App Store – should I know anything about that?
These Terms apply to your use of all the Services, including the iPhone and iPad applications available via the Apple, Inc. (“Apple”) App Store (the “Application”), but the following additional terms also apply to the Application:
- Both you and Dialpad acknowledge that the Terms are concluded between you and Dialpad only, and not with Apple, and that Apple is not responsible for the Application or the Content;
- The Application is licensed to you on a limited, non-exclusive, non-transferrable, non-sublicensable basis, solely to be used in connection with the Services for your private, personal, non-commercial use, subject to all the terms and conditions of these Terms as they are applicable to the Services;
- You will only use the Application in connection with an Apple device that you own or control;
- You acknowledge and agree that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application;
- In the event of any failure of the Application to conform to any applicable warranty, including those implied by law, you may notify Apple of such failure; upon notification, Apple’s sole warranty obligation to you will be to refund to you the purchase price, if any, of the Application;
- You acknowledge and agree that Dialpad, and not Apple, is responsible for addressing any claims you or any third party may have in relation to the Application;
- You acknowledge and agree that, in the event of any third party claim that the Application or your possession and use of the Application infringes that third party’s intellectual property rights, Dialpad, and not Apple, will be responsible for the investigation, defense, settlement and discharge of any such infringement claim;
- You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;
- Both you and Dialpad acknowledge and agree that, in your use of the Application, you will comply with any applicable third party terms of agreement which may affect or be affected by such use; and
- Both you and Dialpad acknowledge and agree that Apple and Apple’s subsidiaries are third party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as the third party beneficiary hereof.
What else do I need to know?
Warranty Disclaimer. Dialpad does not make any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. We make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Services. Products and services purchased or offered (whether or not following such recommendations and suggestions) through the Services are provided “AS IS” and without any warranty of any kind from Dialpad or others (unless, with respect to such others only, provided expressly and unambiguously in writing by a designated third party for a specific product). THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL DIALPAD BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO DIALPAD IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (III) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
Indemnity. To the fullest extent allowed by applicable law, You agree to indemnify and hold Dialpad, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder.
Assignment. You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Dialpad’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
Choice of Law; Arbitration. These Terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, San Francisco County, California, or the Northern District of California.
Miscellaneous. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Dialpad may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Dialpad agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Dialpad, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms, and that all modifications to these Terms must be in a writing signed by both parties (except as otherwise provided herein). No agency, partnership, joint venture, or employment is created as a result of these Terms and you do not have any authority of any kind to bind Dialpad in any respect whatsoever. Except as expressly set forth in the section above regarding the Apple Application, you and Dialpad agree there are no third party beneficiaries intended under these Terms.

You understand that Dialpad owns the Services. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), creative derivative works based on, or otherwise exploit any of the Services.
The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn’t mean that all the restrictions above don’t apply – they do!
What if I see something on the Services that infringes my copyright?
You may have heard of the Digital Millennium Copyright Act (the “DMCA”), as it relates to online service providers, like Dialpad, being asked to remove material that allegedly violates someone’s copyright. Who is responsible for what I see and do on the Services?
Any information or content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk, and we aren’t liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services. We can’t guarantee the identity of any users with whom you interact in using the Services and are not responsible for which users gain access to the Services.
You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. You will keep all your registration information accurate and current. You are responsible for all your activity in connection with the Services.
The Services may contain links or connections to third party websites or services that are not owned or controlled by Dialpad. When you access third party websites or use third party services, you accept that there are risks in doing so, and that Dialpad is not responsible for such risks. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third party website or service that you visit or utilize. Dialpad has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Dialpad will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.
Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that Dialpad shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
If there is a dispute between participants on this site, or between users and any third party, you agree that Dialpad is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Dialpad, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."
Will Dialpad ever change the Services?
We’re always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms), in our sole discretion, and without notice.
Do the Services cost anything?
Some of the Dialpad Services are currently free, but we reserve the right to charge for certain or all Services in the future. We will notify you before any Services you are currently using begin carrying a fee, and if you wish to continue using such Services, you must pay all applicable fees for such Services.
If you choose to sign up for any Services that carry a fee (the “Paid Services”) you will be charged the then current fees for such Paid Services. Dialpad's current fees for the Paid Services can be found at https://www.dialpad.com/pricing and https://www.uberconference.com/pricing. Unless otherwise agreed, all fees paid to Dialpad are non-refundable.
What if I want to stop using the Services?
You’re free to do that at any time, by contacting us at support@dialpad.com; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.
Dialpad is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. Dialpad has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Dialpad.
If you have deleted your account by mistake, contact us immediately at support@dialpad.com – we will try to help, but unfortunately, we can’t promise that we can recover or restore anything.
Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.
I use your App(s) available via the Apple App Store – should I know anything about that?
These Terms apply to your use of all the Services, including the iPhone and iPad applications available via the Apple, Inc. (“Apple”) App Store (the “Application”), but the following additional terms also apply to the Application:
- Both you and Dialpad acknowledge that the Terms are concluded between you and Dialpad only, and not with Apple, and that Apple is not responsible for the Application or the Content;
- The Application is licensed to you on a limited, non-exclusive, non-transferrable, non-sublicensable basis, solely to be used in connection with the Services for your private, personal, non-commercial use, subject to all the terms and conditions of these Terms as they are applicable to the Services;
- You will only use the Application in connection with an Apple device that you own or control;
- You acknowledge and agree that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application;
- In the event of any failure of the Application to conform to any applicable warranty, including those implied by law, you may notify Apple of such failure; upon notification, Apple’s sole warranty obligation to you will be to refund to you the purchase price, if any, of the Application;
- You acknowledge and agree that Dialpad, and not Apple, is responsible for addressing any claims you or any third party may have in relation to the Application;
- You acknowledge and agree that, in the event of any third party claim that the Application or your possession and use of the Application infringes that third party’s intellectual property rights, Dialpad, and not Apple, will be responsible for the investigation, defense, settlement and discharge of any such infringement claim;
- You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;
- Both you and Dialpad acknowledge and agree that, in your use of the Application, you will comply with any applicable third party terms of agreement which may affect or be affected by such use; and
- Both you and Dialpad acknowledge and agree that Apple and Apple’s subsidiaries are third party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as the third party beneficiary hereof.
What else do I need to know?
Warranty Disclaimer. Dialpad does not make any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. We make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Services. Products and services purchased or offered (whether or not following such recommendations and suggestions) through the Services are provided “AS IS” and without any warranty of any kind from Dialpad or others (unless, with respect to such others only, provided expressly and unambiguously in writing by a designated third party for a specific product). THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL DIALPAD BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO DIALPAD IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (III) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
Indemnity. To the fullest extent allowed by applicable law, You agree to indemnify and hold Dialpad, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder.
Assignment. You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Dialpad’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
Choice of Law; Arbitration. These Terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, San Francisco County, California, or the Northern District of California.
Miscellaneous. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Dialpad may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Dialpad agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Dialpad, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms, and that all modifications to these Terms must be in a writing signed by both parties (except as otherwise provided herein). No agency, partnership, joint venture, or employment is created as a result of these Terms and you do not have any authority of any kind to bind Dialpad in any respect whatsoever. Except as expressly set forth in the section above regarding the Apple Application, you and Dialpad agree there are no third party beneficiaries intended under these Terms.
